Pakistan Telecommunication Company Limited (PTCL) has achieved a major milestone in one of the biggest telecom acquisitions in the country after receiving a No-Objection Certificate (NOC) from the Pakistan Telecommunication Authority (PTA) for the takeover of Telenor Pakistan and Orion Towers.
In a notice submitted to the Pakistan Stock Exchange (PSX) on Monday, PTCL confirmed that the telecom regulator has approved the change of control, bringing the company one step closer to completing the landmark transaction.The approval follows PTA’s earlier conditional clearance issued on November 30, 2025, which PTCL has formally accepted. The acquisition is based on a Share Purchase Agreement (SPA) signed on December 14, 2023, between PTCL and Telenor Pakistan BV, covering the entire issued share capital of both Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited.
“Further to our earlier disclosure, PTCL entered into a Share Purchase Agreement with Telenor Pakistan BV for the acquisition of 100 per cent shareholding of Telenor Pakistan and Orion Towers,” the company said in its statement to the PSX.However, PTCL clarified that the transaction has not yet been fully completed, as it remains subject to final corporate approvals, completion of regulatory and legal formalities, execution of remaining agreements, and fulfillment of closing conditions.
The company assured that any further material developments regarding the transaction will be promptly disclosed to the stock exchange in accordance with regulatory obligations. Once finalized, the acquisition is expected to mark one of the largest consolidation moves in Pakistan’s telecom sector in recent years, significantly strengthening PTCL Group’s market position and expanding its operational footprint.
